Agree with dar3dev|l. Please ask your friend to spend some time doing due diligence w.r.t the vehicle and not rush into the deal. Carwale gives a buyer quote of 3.91L for a Zxi; even if you consider 3.75 for an Exi, that's a difference of a whopping 55k from what is quoted in your post!! I know that Carwale gives only an indicative price, but still something to ponder about.

A reasonably well maintained 2008 Diesel Fiesta (whatever the trim level is), easily goes for above 4.5 lakhs, in Bangalore. Heck, even those dealers would buy for that price with a bit of haggling.
3.2 L is a mouth watering price, but be sure that you get it all checked up at any of those Ford A.S.C.
Is this a re-registered car or originally Karnataka registered?

Sold an 2003 Palio(1 owner, timing belt changed) with near 1 Lakh km mileage, 4 years back for 1.87L.

Anything around 2.5-3L max, should be good.

Anyway for a ten year old Octy with 1.4 lac+ kms on the odo, 2.5 - 2.7 lacs would be a fair price, I suppose. (But personally, I wouldn't go near the car.)
