It is official that Bajaj is taking control at KTM

Pierer Mobility AV is the primary owner of the group.

Pierer Bajaj AG is the majority shareholder of PIERER Mobility AG.

Pierer Industrie AG holds a 50.1% stake in Pierer Bajaj AG. The remaining 49.9% is held by Bajaj Auto International Holdings B.V. ("Bajaj BV").

Bajaj BV will acquire the shares of Pierer Industrie AG in Pierer Bajaj AG and thus indirect control over PIERER Mobility AG until the end of May 2026. In that sense, this is an acquisition indeed!

Pierer Bajaj AG is the majority shareholder of PIERER Mobility AG. Pierer Industrie AG holds a 50.1% stake in Pierer Bajaj AG. The remaining 49.9% is held by Bajaj Auto International Holdings B.V. ("Bajaj BV").

Today, Pierer Industrie AG has concluded a call option agreement with Bajaj BV which enables Bajaj BV to acquire the shares of Pierer Industrie AG in Pierer Bajaj AG and thus indirect control over PIERER Mobility AG until the end of May 2026. Such a change of control requires regulatory approvals. Shares may be transferred under this call option to Bajaj BV once all regulatory approvals have been obtained.

Until these approvals are received, the current control situation will remain unchanged.

Whilst this is great news an Indian brand consuming international brand, my only concern is Bajaj's homegrown logic of creating one sub brand and make multiple iterations that dilutes the essence of the brand. I hope many will agree when I say, essence of Pulsar brand from being a performance machine to a commuter is something that I can't digest although it's a great business strategy! Look how many Pulsar variants are in the market from 125-250! It all looks the same. Hope they don't make the same thing with KTM after they complete the takeover.

This really seems like an outdated take. The reason for KTM's falling sales has more to do with it's image in India and less to do with it's reliability.
On the other hand, Bajaj can not be called an unreliable machine at all. The reliabilty and the ability to handle any condition is the main reason why Bajaj is ruling Africa. Because of the nature of my job, I have met quite a few Africans who come from middle class/poor regions and they swear by their Bajaj Boxers.

Honestly, I remember a discussion , where it felt like I was the one criticizing Bajaj and my Nigerian friend was was defending it as if its his own company.

Interesting move! This acquisition could go one of two ways and either direction spells big changes for riders.

Option one: It could pave the way for deeper tech integration into Bajaj bikes. We’ve already seen ride by wire and older KTM engines make their way into the Dominar 400 and NS400Z. This trend could continue, bringing more advanced tech into mainstream Bajaj models.

Option two: Bajaj might be shifting gears strategically doubling down on high volume, mass market commuter bikes across India, Africa, South America, Asia and other emerging regions. Here efficiency, reliability, and affordability rule. At the same time, KTM could rise as a global, affordable premium brand delivering serious performance at VFM pricing powered by Bajaj’s manufacturing strength.

That second theory gets more weight when you look at Bajaj’s recent moves like creating distinct sub brands to appeal to different audiences. Case in point here is distancing the Chetak EV lineup from its core petrol head fanbase to protect brand purity.

Here’s what we might see going forward:

Bajaj stays focused on volume leaders like Platina, CT, Pulsar, and the Freedom range. Dominar and Eliminator might get phased out as Bajaj focus on volumes.

KTM could push deeper into global markets US, Europe and emerging countries with a more price smart performance lineup. This could be a real game-changer.

Husqvarna continues its neo-retro journey, possibly taking on all neo-retro lineups of Royal Enfield, Triumph, Honda, Yamaha and Kawasaki’s . Bajaj’s design game has levelled up so they could finally break Husqvarna into the mainstream design in a big way.

Chetak EV brand continues and interestingly KTM’s in development electric scooters might end up under the Chetak badge.

Bajaj Commercial three wheelers rickshaw and pickups focus on emerging markets.

Of course, these are just predictions. I could be wrong but one thing’s certain. It’s an exciting time to be a rider!

This genuinely made me happy. I really hope Bajaj continues to support KTM’s MotoGP division and invests in racing infrastructure in India. Maybe someday, we’ll see an Indian rider competing in MotoGP. If that happens, Rajiv Bajaj will undoubtedly go down as the GOAT of the Indian automotive industry.

I don't think the rest of the western world JLR customers are even aware that their $100K Range Rover brand is a wholly owned subsidiary of an Indian automobile company.

Thanks to Bajaj, KTM is revived and I hope they restructure for the best and maintain their legacy and quality for years to come. As a KTM fan, this second chance should be cherished by every single employee of KTM around the world. I feel this is much better, in hindsight, if this company were to be acquired by BMW or just another no-name Chinese marquee.
