Price advice for City 1.5

Hi I've checked out this car and would like member comments on the same.

Model : Honda City 1.5
Year : 2001
Colour : Maharajah Gold (or whatever variant was there in 2001)
Kms Done : 41,000 (since it's via a dealer I presume +10 to 15K more)
Ownership : Second owner
Stereo : Stock factory 'system'
Price offered so far : 2,90,000

The cars in OK condition,nothing immaculate.Would need a complete polishing/cleaning job at the dealers.No body damage or major scratches,just the usual city nicks on surface.Clean bodyline.Worn out tyres and a tired battery.

I'm looking to pick it up around 2.7 - 2.8 at the max.Kindly throw in ur suggestions.
